Mr. Simon has over 12 years of legal practice and his areas of expertise includes all aspects of corporate and commercial advisory practice, focusing primarily on foreign direct investment, securities and capital transactions, private equity, real estate, legal training, commercial and corporate matters and dispute resolution.

During his legal practice, Mr. Simon has gained highly-regarded and significant experience and strong expertise in advising leading international and Vietnamese corporations across a wide range of industry sectors (including manufacturing, banking and finance, insurance, property development, and services sectors) in structuring their business and investments as well as managing their corporate governance and daily operation in Vietnam.

Mr. Simon has developed technical excellence from being involved in a large number of major and complex M&A, banking and finance transactions, corporate restructuring, and dispute resolution.

Professional background:

Mr. Simon is admitted to practice in Vietnam as a qualified lawyer of the Ho Chi Minh City Bar Association and a member of the Vietnam Bar Federation. He has now worked as managing directors as his own firms named LTS LAW FIRM and LTS CONSULTING LLC.

Mr. Simon holds a Bachelor of Laws from the Law University of Ho Chi Minh City.

• participating in advising an unprecedented US$12.5 million share swap transaction of Duc Long Gia Lai Group (“DLG”) in which DLG issued new shares to Global Emerging Markets (“GEM”) via private placement but for exchanging shares held by GEM in an offshore company instead of money
• participating in advising Samsung about technology transfer and registration of new business activities related to export, medical devices distribution
• participating in advising Nissan on registration of new business activities related to manufacturing and distribution and setting up new branch in Ho Chi Minh City with total investment capital of US$53 million; reviewing its contracts to be entered into with its business partners
• participating in advising VREMAX, a local real estate developer, in relation to its VND1,000 billion project located in Binh Chanh District, HCMC
• participating in advising SOTRAN, a leading local logistics company, in relation to its proposed VND711 billion harbor construction and operation project
• participating in advising NEW HOPE, a Chinese animal feed producer, in restructuring its ownership and capital in its 3 subsidiaries in Vietnam and registration of such changes
• participating in advising VCHG, an investment fund in Luxembourg, in relation to its successful acquisition of 30% equity under private placement in a leading local movie producer with the total investment of US$1.5 million
• advising University Medical Center HCMC in relation to its proposed project of setting up a traditional medicine hospital in Ho Chi Minh City
• participating in advising ARIS, a Japanese software developer, in setting up a software company in Vietnam
• participating in advising a Swiss investor on setting up a trading joint venture company in Ho Chi Minh City for distribution of watches, pens and other lifestyle products

• advising a Hong Kong investor on a cross-border lending transaction secured by land located in Can Gio District, Ho Chi Minh City

• advising BIBICA, a leading snack and confectionary producer in Vietnam, in relation to a lawsuit in which BIBICA claimed fire insurance compensation
• advising and representing PEPSICO in several legal actions in which PEPSICO claimed overdue debts from its distribution agencies
• advising and representing NEOVIA VIETNAM, a member of NEOVIA GROUP (France), in several legal actions in which NEOVIA VIETNAM claimed overdue debts from its distribution agencies
• advising and representing a vocational training school in Ho Chi Minh City in a dispute of the ownership/use right to a land area and facilities attached thereto located in Thu Duc District with the total area of up to 4,689 m2
• advising and representing a Malaysian company in a dispute in which it claimed an overdue debt as agreed cost of staging an artistic performances of the Super Junior (Korea) in Vietnam 
• advising and representing a Ukrainian company in a dispute concerning a claim for damages against a member of Vietnam Cashew Association due to the latter’s failure to supply cashew nuts in accordance with the signed contract
• advising and representing HDTC, a real estate developer in Ho Chi Minh City, in a lawsuit related to its payment guarantee obligation in favor of a Korean plaintiff
• advising TRAN VUONG, a local construction company, that is a sub-contractor, in Can Tho City, in a dispute between its contractor association and the owner of a project of construction of a water supply factory financed by German Government
• advising TOTAL in a dispute with its distribution agency in recovery of unpaid debts
• advising and representing a German individual in 2 legal actions against a Vietnamese person in relation to a capital contribution contract and loan contract
• advising DIEN QUANG, a local leading lamp producer in Vietnam, in a dispute with its partner concerning a distribution agreement and a warehousing and logistics service agreement
